Brief Profile of A.K. Rastogi

A.K. Rastogi, Managing Partner of the firm is FCA and FCS having over 44 years of experience both in Public and Private Sector and has dealt with all aspects of Company law matters, Issue of Shares and Debentures to Public through IPO, FPO and on Private Placement basis, Compliance of Listing Regulations, Institutional Finance, Due Diligence of Corporates, Drafting of MOU, Joint Venture Agreement and formation of Joint Venture Companies in India and abroad, Merger and Amalgamation etc. He retired from NTPC Limited (a Maharatna listed CPSE) at the level of Executive Director & Company Secretary after working for 31 years and also worked as Joint President & Company Secretary in Jaiprakash Power Ventures Limited, a listed company for 3 years and thereafter, has been in practice for more than last 5 years.

He has been conferred with the following prestigious National Awards:

• CA Business Achiever - Corporate Award (2012) by ICAI for exceptional achievements as a CA Professional in the Public Sector category, presented by CA Shri Suresh Prabhu and CA Shri K. Rehman, the then Hon. Minister of Minority Affairs.
• National Award for Excellence in Corporate Governance (2009) by ICSI for exemplary contributions to corporate governance, presented by Late Sh. Vilas Rao Deshmukh, the then Hon'ble Minister of Heavy Industries and Public Enterprises, Government of India.

He was a member of various expert groups formed by ICSI and Department of Public Enterprises (DPE), Government of India, advising DPE on matters related to the Companies Act and Corporate Governance.

Widely travelled in India and abroad, he had delivered several lectures on the Companies Act 2013 and listing regulations at programs organized by ICAI, ICSI, C&AG, and DPE. On the invitation of OECD, he addressed in a session on Corporate Governance at the 6th Asia Network Meeting in Seoul, South Korea and had also been a speaker at an ICSI orientation program for newly appointed Independent Directors on CPSE boards.

He is currently an Independent Director on the Board of Haryana Petrochemicals Limited (MGRM Group), Gurgaon, Chairman of NRC, and Member of Audit Committee.
